(EA-RTM) Bylaws

ARTICLE 1 - Creation

East Asia Round Table Meeting of Academies of Engineering "EA-RTM" is a non-profit and non-governmental association with science, engineering and technology interests. It is founded by the Chinese Academy of Engineering (CAE), the Engineering Academy of Japan (EAJ) and the National Academy of Engineering of Korea (NAEK). EA-RTM shall be expanded and consisted of academies of engineering and technological sciences of East Asian Countries.

ARTICLE 2 - Objectives

The objectives of EA-RTM are to discuss the issues of common concern among members related to engineering and technological sciences and to find out best solutions and provide impartial and balanced advice on technological issues for the short, medium and long-term future of East Asia.

In order to carry out these objectives, EA-RTM will:
(a) Provide an independent non-political and non-governmental international forum of engineering and technological sciences academies in East Asia, prepared to advise governments and international organizations on technical and policy issues related to its areas of expertise;
(b) Contribute to the strengthening of engineering and technological activities in order to promote sustainable economic growth and social welfare throughout East Asian countries;
(c) Foster a balanced understanding of the applications of engineering and technology by the public;
(d) Provide an international forum for discussion and communication of engineering and technological issues of common concern;
(e) Foster cooperative international efforts for development of programs of bilateral and multilateral interests;
(f) Support establishment of additional engineering academies in countries where none exist.

ARTICLE 3 - Membership

Section 1 Composition

The members of EA-RTM shall be academies of engineering and technological sciences of East Asian Countries.

Section 2 Founding Members

Founding members of EA-RTM are: The Chinese Academy of Engineering, The Engineering Academy of Japan, and The National Academy of Engineering of Korea.

Section 3 Criteria for Membership

A member of EA-RTM shall:
a. Be representative of the engineering and technological community of that country;
b. Subscribe to the non-political, non-governmental international character of EA-RTM;
c. Be engaged in significant activities demonstrating that its objectives are compatible with the objectives of EA-RTM;
d. Have sufficient financial support to pay the costs of participation in EA-RTM activities; and
e. Be only one EA-RTM member from any country.

Section 4 Procedures for Admission of New Members

a. The election of a new member academy shall take place only during a regular meeting of EA-RTM.
b. Admission of a new member academy shall require the affirmative votes of all of the members' representatives present and voting.
c. Applicants elected by EA-RTM, on complying with EA-RTM-approved entry requirements, shall be admitted to EA-RTM effective at the conclusion of EA-RTM at which elected.

Section 5 Resignation and Removal of Members

a. A member may express the resignation with a written notice to EA-RTM 90 days prior to a regular meeting.
b. The removal of a member shall take place only during a regular meeting of EA-RTM and shall require the affirmative votes of all of the members' representatives present and voting.

ARTICLE 4 - Organization

Section 1 The EA-RTM

a. Each academy shall appoint a representative to speak and vote on its behalf. The body of the academy representatives shall be known as the EA-RTM.

b. The EA-RTM shall:
(a) Establish the policies of EA-RTM;
(b) Approve procedures for and the election of academies to membership in EA-RTM;
(c) Accept the representative of each member academy to the EA-RTM and
(d)Approve the general concept and outline of EA-RTM projects, and endorsed activities.

Section 2 Meetings

Regular meetings of the EA-RTM shall be held annually to make decisions about important issues related to governing policy of EA-RTM. This regular meeting shall be called Round Table Meeting (RTM). RTMs shall be hosted on a rotating system among EA-RTM members and be chaired by the host country.

With 90 days notice, special meetings of the EA-RTM may be called by the president of a host country or at the request of a third of member academies.

Each member is entitled to one vote on each matter submitted to a vote at any meeting. Fifty percent of the current EA-RTM membership, with accepted representation present, shall constitute a quorum.

A member academy may invite observers to EA-RTM regular meeting on its own discretion only for the year it hosts RTM in its own country.

Minutes of a regular and/or special meeting shall be prepared by the host country.

Section 3 Task Forces

a. Task Forces, Workshops and Working Parties of a reasonable and sufficient size may be set up to deal with specific topics if called for by a member and approved at the regular meetings. The life of such Working Parties should, in principle, not exceed one year, but it may be extended if this is essential.
b. A head of the Task Force, who is normally from the host academy for the coming RTM, shall be appointed at the regular meeting.

ARTICLE 5 - Expenses

There will be no annual membership dues.

Each member academy shall be responsible for the travel and accommodation expenses of its delegation to EA-RTM meetings, and the hosting member shall be responsible for the costs incurred from the operation of EA-RTM and the preparation of EA-RTM meeting until the venue for the next EA-RTM meeting is determined.

The expenses incurred from the activities of the Task Forces, Workshops and Working Parties are the sole responsibility of the participating member academies.

ARTICLE 6 - Language

The language of EA-RTM meetings and activities shall be English.

ARTICLE 7 - Amendments of Bylaws

Section 1 Proposed Amendments

Amendments to these Articles may be proposed by a member academy and will be considered at the next regular meeting of the EA-RTM.

Proposed amendments shall be provided to all member academies through the host country at least 90 calendar days before the EA-RTM meeting at which they are to be considered.

Section 2 Approval of Amendment

Approval of an amendment at a meeting of the EA-RTM shall require the majority approval of all the member representatives present.

ARTICLE 8 - Dissolution

Dissolution of EA-RTM shall be decided with a majority approval of all the member representatives present.
